Massive $115B Takeover Proves AI Is Going Optical
Marvell Technology (NASDAQ: MRVL) just made the biggest bet on photonics in history.
The chipmaker just announced announced it’s buying Lumentum (NASDAQ: LITE) in an all-stock deal that values the laser maker at $115 billion.
That works out to about $1,132 a share, a 24% premium to where Lumentum traded before word of the talks leaked last week.
It ranks among the largest tech deals ever struck.
And it’s all about light.
Marvell Is Buying Its Own Supply Chain
Lumentum makes the lasers and optical transceivers that move data between AI chips over fiber instead of copper.
Marvell was already one of its customers. Now it’s buying the whole shop.
Lumentum’s CEO says its AI data center lasers are sold out through early 2029.
When the parts you need are spoken for three years out, you stop placing orders and start writing checks.
Marvell also gets Lumentum’s compound semiconductor fabs, including its indium phosphide production.
That’s the specialty material those high-speed lasers are built on, and Marvell says owning it will strengthen its strategic supply.

Marvell CEO Matt Murphy didn’t mince words, either.
He called the shift to optical connectivity a once-in-a-generation opportunity and said the companies that move first will set the standard for decades.
And he’s handing over a third of his company to back that up. Lumentum shareholders will own roughly 33% of the combined business.
Buyers Know Best
When Bloomberg broke news of the talks last Wednesday, Marvell shares fell about 13% the next day.
Investors balked at the premium and the dilution that comes with an all-stock deal this size.
But Nvidia (NASDAQ: NVDA) put $2 billion into Lumentum earlier this year. Now Marvell is paying $115 billion for the whole company.
Two of the most sophisticated buyers in AI hardware looked at the same problem and reached the same answer.
Copper can’t carry the data loads AI clusters demand. Light can.
Marvell said as much in its own announcement, pointing to the physical limits of copper as the reason the industry is moving to optics.
It also says the combined company will be chasing a $550 billion addressable market.
The Bidding War Has Begun
Deals this big tend to set off a chain reaction.
Once one giant pays up for optical capability, its competitors have to answer.
Broadcom, Nvidia, and the hyperscalers building their own AI chips all need the same lasers, the same materials, and the same intellectual property.
And Marvell just took one of the biggest independent suppliers off the board.
The Lumentum deal won’t even close until the first half of 2028. Rivals can’t afford to wait that long to lock down their own supply.
That puts a spotlight on the smaller companies that own critical pieces of the photonics stack: the patents and designs the giants will need to license or buy outright.
I’ve been tracking one of those companies for Secret Stock Files.
It’s a small-cap photonics IP holder positioned to license into exactly the kind of integrated optical systems Marvell is now racing to build.
At a tiny fraction of Lumentum’s size, a single licensing deal or buyout offer could move the stock dramatically.
I’ve laid out the full story, including the ticker, in my latest report.
